At the Board of Directors Meeting on May 16, 2007, Sanix Incorporated (Ticker: 4651, TSE/OSE/FSE, President & CEO: Shin-ichi Munemasa) resolved that election of accounting auditor will be proposed at SANIX’s 29th general shareholder’s meeting scheduled for June 28, 2007. This resolution has been approved by our board of auditors. This resolution has been approved by the Board of Corporate Auditors.
 

1. Reason for Election of Accounting Auditor

Our present account auditor, Misuzu Audit Corporation (former corporate name: ChuoAoyama Audit Corporation), issued an announcement under the title of “Consultation with other audit corporations concerning personnel transfer” on February 20, 2007. In response to this announcement, KPMG Azsa & Co., Ernst & Young ShinNihon and Deloitte Touche Tohmatsu agreed to have discussions on transferring Misuzu’s staff members and other employees in whole or in part to their own firms. In this process, it was decided that a certified public accountant in charge of our account auditing will move from Misuzu to Deloitte Touche Tohmatsu as of the end of July, 2007. Given these developments, if we are to place emphasis on the consistency of auditing services and ensure the effectiveness of auditing activities, we believe Deloitte Touche Tohmatsu is the most suitable auditor to carry out our account auditing in the years ahead.

It is for the above reasons that we propose the “selection of a new account auditor” bill at the 29th general shareholder’s meeting to elect Deloitte Touche Tohmatsu as our new auditor that will take the place of Misuzu Audit Corporation.
